RULES AND REGULATIONS

1. MEMBERSHIP:

l Types of membership

Visthar Media Research and Activist Forum offers the following kinds of Membership. Membership fees maybe reviewed by the executive committee every 3 years.

(i) Founder members

(ii) Life Members

(iii) Annual members have voting rights.

The following Other types Members are donors and no voting rights.

(iv)Corporate members

(iv) Patrons

(ix) Donors

(v) Permanent members

(vi)Student Members

(vii) Honorary Members

(viii) Voluntary Members

3.1.i, Founder members: are the founders of the organisation as on the date of'registration of the Association. Founder members shall have right to speak (in a meeting), vote, contest elections, attend meetings, The spouse / heir (who should be above the age of 18 years) of the deceased founding member shall be entitled to become a permanent member ipso facto: Permanent members shall have right to speak, vote, contest elections, and attend meetings.

3.1.ii. Life Members: should have completed eighteen years of age as on the date of application and can enrol by tendering the prevalent enrolment fee along with an application for such membership subject to the approval of the executive committee as on the date of enrolment. Life members shall have right to speak (in a meeting), vote, contest elections, attend meetings. The spouse / heir (who should be above the age of 18 years) of the deceased life member shall be entitled to become a permanent member ipso facto: Life members shall have right to speak, vote, contest elections, and attend meetings. Membership fee: Rs 50000.

3.1.iii. Annual Membership: Shall be open to those individuals above the age of eighteen years as on the date of application and can enrol by tendering the prevalent enrolment fee along with an application for such membership subject to the approval of the executive committee. Annual membership shall be valid for a period of one year. Renewal of the membership is subject to scrutiny of the member's performance and approval of the executive committee. Annual members shall have right to speak (in a meeting), vote, contest elections, and attend meetings. The spouse / heir (who should be above the age of 18 years) of the deceased annual member shall be entitled to become a permanent member ipso facto: Annual members shall have right to speak, vote, contest elections, and attend meetings. Membership fee: Rs 1500.

3,1.iv. Corporate members are members of atleast eighteen years of age from a corporate house / Industrial entity that wishes to support our causes and activities with financial support and sponsorship. Corporate enterprise, or Small and Medium Enterprises, registered under the Companies Act 1950 can be patrons, Generous contributions are solicited. Corporate sponsorship of any particular project / cause in any form is encouraged. Corporate members shall not have the right to speak, attend meetings but not to vote. Donations are exempted from tax under sections 80 (c.) of Income Tax Act. Corporate members who make generous donations with Income tax exemption are eligible for privileges like leading capacity building and training workshops, and other important tenets of work culture to marginalized communities. Corporate members shall have the right to speak, attend AGM / General Body Meetings.

3.1-.v: Patrons: Are individuals / organisations who genuinely support the organisation in all its endeavours. They should be atleast eighteen years of age and have a right to patronize any particular campaign or project of VMRAF with monetary and other human resources. Patrons who support campaigns or projects of VMRAF with monetary donations in multiples of Rs. 50000 shall have the right to speak, attend AGM / General Body Meetings but not to vote.

3,L.vi. Permanent members: should have completed eighteen years of age as on the date of application and can enroll by making a substantial donation to the organisation for specified projects or espousal of specified causes. This membership is subject to approval of the executive committee. Membership fee:

Rs 5000.

3.1.vi. Student Membership: Shall be open to students of schools, colleges and other kinds of educational institutions. No membership fee will be levied for student members. Their identity cards should be produced at the time of enrollment and renewal. Student members shall not have the right to speak (in a meeting), vote, contest elections, and attend meetings' 3.1.vii: Honorary Members: Any person of merit, recognition and commitment to the cause of conservation will be appointed by the executive committee as Honorary Members for five years. S/He shall have a right to speak, attend meetings take part in activities but can neither vote, nor contest

elections. 3.1.viii Voluntary members: Shall be open to those who seek to render voluntary service to the organisation for specific causes / projects / objects and or services in any given sphere of activity in any capacity entirely on a voluntary basis without expecting any monetary benefit from this non profit organisation. Voluntary members shall not have the right to speak (in a meeting), vote, contest elections, and attend meeting. Volunteers in projects will have their expenses taken care of and will get participation certificates. Volunteers shall have a right to speak, attend meetings take part in activities but can neither vote, nor contest elections. 3.1.ix. Donors: Any institution / fnm / Foundations / Individuals / are encouraged to make monetary contributions in favour of the organisation as gesture of appreciation or a token of belief in the general cause being upheld by VMRAF. Such donations are exempt from income tax liabilities in accordance with the provisions made under the Income Tax Act (80) {CCG} Donors shall have the right to speak (in a meeting), but can neither vote nor contest election. Donations are solicited.

3.2.i.Subscription: lf the subscription of the member is in arrears for more than three months without satisfactory explanation to the Secretary, his/her name and membership will be removed and the Executive Committee may reconsider his/her application for re-admission of membership after due payment of stipulated fees.

3.2.ii. The EC retains the right to terminate membership on death, or if the member acts against the objects of the Association, is of unsound mind and other reasons stated by executive committee. 3.2.iii. All members may take part in the proceedings of the General meeting. Only such members who have completed minimum period of 6 months as members shall exercise their vote.

2. GENERAL BODY AND OTHER MEETINGS:

A: A General body meeting of the Association will be held annually during the month of April'

B: The report of the Management of the previous years working and the audited accounts for the one period and proceedings year shall be discussed and submitted for confirmation.

D. Voting shall be conducted by show of hands or Secret Ballot.

E.21 days clear notice forthe annual general body meetingand2L days notice forthe Special General body meeting shall be given, and the subject mattersto be discussed shall be stated in the notice.

F:The quorum of the General body meeting shall be more than40% of the members.

G:. SpecialGeneral body meeting shall convene as per Sec.11 (3) of the K.S.R' Act, 1960.

3, ACCOUNTS:

a. The Official year of the Association shall be from 1st April to 31st March.

b. The assets and liabilities the balance sheet of the Association shall be laid before the Annual General Body meeting for confirmation.

c. Such a balance sheet and the list of Committee members shall be filed with the Registrar of Societies as per Sec.13 of the K.S.R. Act, 1960.

. The income of the organisation by whatever means shall be utilised for the objects of the association and shall not be distributed amongst its members or anybody'

. Office bearers will be entitled to an honorartum

. Project leaders are also entitled to an honorarium

. Reimbursement of expenses incurred towards project costs that may not have been covered in the sum allocated is mandated on approval of EC.

. Accounts will be presented to AGM and a resolution will be passed to accept accounts.

o I copy of the accounts and resolution will be presented at the end of every financial year to the authorities.

4. AUDITOR:

An Auditor shall be appointed annually and the remuneration shall be fixed by the members in the Annual General Body meeting.

5. EXECUTIVE COMMITTEE:

VISTHAR MEDIA RESEARCH & ACTIVIST FORUM

An Executive committee consisting of 07 members shall be elected in the General body meeting once in 3 years.

e' The Executive committee shall meet once 3 months for which the President shall give notice of 7 days to the members.

f. Voting shall be conducted by show of hands or Secret Ballot.

a. will ensure and promote the primary aims and objectives of the Association.

b. Will publish Annual report/accounts.

c' Will operate funds and manage the property of the Association and to present the duly audited accounts at Annual general body meeting.

d. In the event of any office bearer laying down office for whatever reasons, the Managing committee can co-opt any member considered suitable for the office for the remaining period of the tenure or till elections are held.

e. Will ensure utilization of income towards promoting the objectives of the Association.

f. May decide to expel a member of Managing committee or member of the Association in case any one is convicted of any criminal offence, or prove insanity or any member's action in contravention to the Byelaws.

g. Willacceptfrom Government, Non-Government, Local Bodies, Societies, NRl, Banks (Nationalized/Cooperative) and individuals Grants, Donations, Loans, Subscriptions or any property movable or immovable for furtherance of the objectives of the Association.

h. At any meeting of the Executive committee each member present will have one vote except the President who shall have in addition a casting vote. Voting may be raising of hands or Secret Ballot.

i. Will ensure that all monetary transaction are through objectives of the Association, j. Managing committee shall have power to appeal and raise funds and fulfil any formalities incumbent upon it.

k. Executive committee may appoint a committee, Sub-committee with such powers deemed fit by this body for the purpose of commensurate with objectives. The committee, Sub-committee may co-opt persons who are members of the Association.

l. Executive committee may invite to their meetings not more than two specialists/experts who may be non-members of the Association whose presence with the deliberations is considered useful.

m. Will open bank account in the name of the Association in Nationalized/Co-operative/Scheduled bank, Private finance institution and operated by Secretary jointly with the Treasurer of the Association.

n, Executive committee shall arrange for the publication in any manner Association journal, documents as may be considered fit in the furtherance of its objectives.

o. To make the rules and Byelaws and get approved.

p. To acquire or purchase, take on lease, hire or by gift or other wise and hold any moveable or immovable property or properties or any right or privileges that may be deemed necessary or useful for the advancement of the objects of the Association,q. The Governing Body shall not admit members during the last three months of its tenure.

ELECTION:

Any member who is desirous of standing for the election as a member to the council of management shall be a member of the Association for at least 12 months prior to the date of nomination.

6 Any vacancy that may arise in the Executive committee may be filled in by the remaining committee members.

7. Any member of the Executive committee being absent for three successive meetings without proper cause shall cease to be a member of the Executive committee.

8. The Executive committee is to meet every month or earlier is any business to consider and president shall convene such meetings with 2/3rd quorum.

9. The executive committee in its meetings shall consider the entire question effecting business that may be of interest to the members of the Association and they shall inform and circulate any information, which may be of use to the members.

10. ACCOUNTS:

There shall be maintenance of accounts of the Association:

A Chartered Accountant shall duly audit the accounts. The Accounts shall be closed 31-st March everv year.

11. AMENDMENT:

Provided that no amendment to the Memorandum of Association, Rules and regulations of the Association shall be made which may prove to be repugnant to the provisions of Sec.2 (15), 11, IZ, t3i

and 80G of the Income Tax Act, 1961 as amended from time to time, Further no amendment shall be carried out without the prior approval of the commissioner of Income Tax.

12. DISSOLUTION:

In the event of dissolution or winding up of the Association the assets remaining as on the date or dissolution shall under no circumstances be distributed among the members of the Managing committee/Governing body but the same shall transferred to another charitable Association /Association whose objects are similar to those of this Association and which enjoys recognition u/s.80G of the t.T. Act, 1961 as amended from time to time.

13. CLAUSE: 6:

The benefits of the Association shall be open to all irrespective of the caste creed religion or orientation.

14, CLAUSE: 7:

The funds and the income of the Association shall be solely utilized for the achievement of the objectives and no portion of it shall be utilized for payments to the members by way of profit, interest and dividends.

15. Alteration or amendment of the Memorandum of Association shall be made as per Sec. 9 of the K.S.R. Act, 1960.

16. Change of Name, Rules and regulations shall be made as per Sec.10 K.S.R. Act, 1960.

17. lf the Dissolution of the Association arises Sec.22 and 23 of the K.S,R. Act, 1960 shall be followed.

18. Regarding the Amalgamation of the Association arises Sec.21 of the K.S.R. Act, 1960 shall be followed.

19. For the matters, which have not been specified, provided to therein above, the provisions of the K.S.R. Act, 1950 and the Rules made there under shallapply.

20. The working hours of the Association will be from:

Morning: 10.00 A.M. To Evening: 06.00 P.M.

21. EXECUTIVE POWERS OF THE COMMITTEE.

The administration and Management of the Association shallvest in the Executive committee consisting of 07 members including President, Secretary, Treasurer and E.C. Members of the Association.

5.2.(i) President:

5.2.i. Shall be the chief executive officer of the association and of managing committee,

5.2.i,a, The president will preside over the general and special general meetings of the association and also on the managing committee meeting.

5.2.i. b. The president shall authorize the secretary to operate the accounts of the association jointly with the treasurer.

The president shall appoint staff for the establishment with the approval of the committee.

5.2.i. c. In case of any ties of votes in any of the meeting the president shall have an additional vote for

casting.

5.2.i. d. The president along with the secretary shall be responsible for over all implementation of the objectives of the association.

5.2.i. e. The president shall ensure that the monthly earnings and expenditure of the association are maintained at the stipulated level indicated earlier and take necessary action forthwith as specified therein.

5.2.i. f . The president along with the secretary shall be responsible for over-all implementation of the objectives of the association.

2.ii Secretary

5.2.ii.a The General Secretary will be the primary correspondent with all authorities on behalf of Visthar Media Research and Activist Forum. The secretary is authorised to correspond with the Registrar of Societies and such other agencies or authorities which maybe necessitated by the activities of the NGo.

5.2.ii.b. The Secretary together with the President shall be responsible for over all implementation of the objectives of the Association.

5.2.ii.c. The secretary shall call for general body meeting, annual general meeting, in consultation with the President.

5.2.ii.d. The Secretary shall have the responsibility to prepare and keep records of the minutes of the proceedings of the MC and GB meetings in a book specially maintained for the said purpose. The president shall authenticate such minutes of the meeting.

5.2.ii.e. The secretary shall have the responsibility in maintaining records, documents, and registers of the association in safe custody.

5.2.ii.f. The secretary shall follow up and fulfill all statutory obligations,

5.2.ii.g, The secretary shall be the correspondent of the association and maintain all the correspondence, records concerned with the association,

5.2.ii.h. The secretary shall be the custodian of all the articles movable and immovable belonging to the

association.

5.2.ii.i. The secretary shall in consultation with the president and with MC as and when required shall act as pivot of all the activities of the association, including reporting, budgeting allocation of funds including legal, making agreements, contracts, appointments, purchasers, hiring human resources, accounts of expenditure of sorts, all correspondence between the association and members and also with outsiders to comply with his / her various duties and responsibilities enumerated above.

5.2.ii.j.. To achieve the objectives the secretary shall maintain petty cash not exceeding Rs 10000, which shall sourced through documentation.

5.3Joint Secretary: shall be of assistance to both secretary and president of the NGO in all their endeavours and shall be bound by the rules of the memorandum of association.

5.4 Treasurer

5.4.a. The treasurer shall be responsible for all the withdrawals and disbursement authorised by the secretary and shall cause true and proper accounts to be kept of sums of money received and disbursed on behalf of the association and matters in respect of which such receipts and expenditures take place, and keep account of all assets, credits and liabilities of the association.

5.4.b. The treasurer shall have charge of all money belonging to the association and his/her receipt shall be a discharge for all money payable to the association.
